AUCTION RULES

 

1. PRELIMINARY PROVISIONS

1.1. Bid and Grow Corp., a company duly incorporated in Toronto, Canada, Corporation Number 1000809120, registered address: 151 Yonge Street, 11th Floor, Toronto, Ontario, Canada, M5C 2W7, doing business as Bid & Grow Auctions on One.Bid and/or other online auction platforms, serves as an intermediary third party between owners of Lots and Winning Bidders to organize Bidding for Lots consigned to the Auctioneer for sale under the terms and conditions specified in these Auction Rules (“Rules”) and to arrange for the shipment of Lots to the Winning Bidder.

1.2. The Auctioneer guarantees the confidentiality of Bids and personal data of Bidders in accordance with GDPR and/or any other applicable data protection laws and the Privacy Policy provided on the Platform.

 

2. DEFINITIONS

• Auction — a public online sale of Lots organized by the Auctioneer through Bidding.

• Auctioneer — Bid and Grow Corp., a company duly incorporated in Toronto, Canada, Corporation Number 1000809120, registered address: 151 Yonge Street, 11th Floor, Toronto, Ontario, Canada, M5C 2W7, doing business as Bid & Grow Auctions.

• Bid — an offer of a price for a Lot at the Auction.

• Bidder — an individual or company registered on the Platform for and participating in the Auction.

• Bidding — a process through which the Bidder offers a price at which the Bidder is prepared to purchase a given Lot.

• Buyer’s Premium — a fee of 20% that a Winning Bidder is charged on top of the Hammer Price of a Lot.

• Catalog — a document that is created by the Auctioneer and contains descriptions of Lots put up for sale at the Auction.

• Hammer Price — the winning Bid for a Lot at the Auction.

• Lot — a numismatic coin or a selection of numismatic coins that are subject to an Auction.

• Platform — a website or any other online resource used for Bidding on Lots, including One.Bid at https://one.bid/en.

• Purchase Price — the total price due and payable, including the Hammer Price, the Buyer’s Premium, and any additional charges, including insurance, shipping, payment processing, foreign exchange, sales tax.

• Starting Price — the lowest price of the Lot at which the Bidding begins.

• Winning Bidder — the Bidder that offers the highest Bid.

 

3. LOTS

3.1. The Auctioneer establishes the date and Platform of the Auction, and the Catalog of Lots to be put up for sale at the Auction.

3.2. All Lots are genuine and authentic, unless otherwise specified in the Lot description and/or Catalog.

3.3. Lots listed in the Catalog and offered for sale at the Auction are provided with descriptions whose accuracy is confirmed by staff and experts of the Auctioneer and/or by external consultants. Such descriptions are created in good faith based on the actual condition of Lots. The Auctioneer has taken every reasonable step to ensure that all of the Lots in the Auction are as described. The Auctioneer’s assessment the condition, eye appeal, strike, and other features of Lots is subjective, is provided for reference only, and may be different from the Bidder’s assessment.

3.4. Descriptions of Lots listed in the Catalog may be revised or expanded by the Auctioneer before online Bidding begins.

3.5. The Catalog includes Starting Prices.

3.6. The Auctioneer may withdraw any Lot without notice.

 

4. JOINING THE AUCTION

4.1. By registering for and participating in the Auction, the Bidder confirms that they are a legally competent natural or juridical person and agrees to be bound by these Rules in full and without reservation.

4.2. The Bidder shall only provide their accurate and true identity details during registration.

4.3. Each newly registering Bidder is granted a spending limit of USD 300, which cannot be exceeded without the Auctioneer's prior consent.

4.4. The Auctioneer may grant a Bidder a larger spending limit when and if the Bidder electronically submits documents required for identity verification, including their national ID, driver’s license, foreign passport etc., within 3 days of the Auctioneer’s relevant request.

4.5. The Auction is held by the Auctioneer in English under the applicable laws of Canada. Prices at the Auction are in dollars of the United States of America.

4.6. Any actions undertaken by third parties accessing the Bidder's device that is logged into the online Bidding account are recorded as actions of the Bidder. The Bidder is solely responsible for the consequences of sharing the Bidder’s device with other people or leaving it unattended.

4.7. The Auctioneer is not responsible for any problems during the Auction caused by internet disruptions or other technical problems on the Bidder's side.

4.8. When joining the Bidding by clicking the button with the amount displayed on it, the Bidder submits a binding offer to purchase the Lot and accepts the price shown on the button.

 

5. PRICE

5.1. The Auctioneer reserves the right to modify the Starting Price before the Auction.

5.2. Depending on interest in a Lot, the Auctioneer may start the Bidding with a Starting Price that is lower or higher than that listed in the Catalog.

 

6. BIDDING

6.1. Bidding is conducted by the Auctioneer on an online auction Platform in real time.

6.2. The Auctioneer applies the following Bid increments in USD:

1.00–20.00: 1

20.01–50:00: 2

50.01–200.00: 5

200.01–1000.00: 10

1000.01–2000.00: 20

2000.01–5000.00: 50

5000.01–10000.00: 100

10000.01 and above: 200

6.3. In the event of identical (tied) Bids during the Auction, the earliest of the Bids shall take priority.

6.4. The Bid is binding once submitted to the Auctioneer.

6.5. A Bid submitted during the Auction ceases to be binding when a higher Bid is submitted by another Bidder.

6.6. The Bidder that has offered the highest Bid becomes the Winning Bidder.

 

7. PAYMENT

7.1. The Purchase Price includes the Buyer’s Premium and any additional fees, including insurance, shipping, and, if applicable, sales tax, foreign exchange and payment processing fees.

7.2. Insurance coverage is charged to all Winning Bidders. If declined, shipment is made at the Winning Bidder’s risk subject to the Bidder’s express consent.

7.3. The Buyer’s Premium is 20% of the Hammer Price, is not indicated on the Platform, and will only be specified in the invoice to the Winning Bidder.

7.4. The sales tax, if applicable, will be added to the invoice total, including the Buyer’s Premium.

7.5. Invoices are generated in USD by default. If requested by the Winning Bidder, their invoice may be issued in EUR or CAD based on the spot exchange rate of www.xe.com and subject to a foreign exchange fee of 0.5%.

7.6. Invoices for the Purchase Price are emailed to Winning Bidders within 48 hours of latter of: the end of the Auction or the Winning Bidder’s confirmation of their preferred payment currency.

7.7. The Winning Bidder shall pay for their purchased Lots within 72 hours of the invoice date.

7.8. Payments shall made by bank transfer in USD, EUR, or CAD subject to an additional processing fee of 30 USD/EUR/CAD, respectively, for SWIFT transfers. This processing fee is waived for Winning Bidders who make payments using ACH for USD, SEPA for EUR, or Interac/domestic transfers for CAD.

7.9. Ownership of the Lot passes to the Winning Bidder at the time the Purchase Price is credited in the Auctioneer’s bank account in full.

7.10. If the Winning Bidder fails to pay the Purchase Price in full by date specified in section 7.7, the Auctioneer may, without prejudice to the Auctioneer’s other rights:

a) charge statutory interest for the period that the payment remains overdue;

b) cancel the Winning Bidder's order;

c) blacklist the Winning Bidder on One.Bid and/or other online auction platforms;

d) take any other action appropriate to the circumstances.

 

8. SHIPPING

8.1. The Lots are shipped to the Winning Bidder within 5 business days after the Purchase Price has been credited to the Auctioneer's bank account in full.

8.2. Shipping is made through DHL*** subject to their shipping costs charged to the Winning Bidder.

8.3. Insurance coverage is procured for all shipments and is mandatory. If the Winning Bidder may waive insurance by filling out a consent form and agreeing that their Lots are shipped at their own risk.

8.4. The shipping cost may be increased if the Winning Bidder chooses a different shipping company or the shipping company has increased its rates.

8.5. The Auctioneer's liability for a Lot ceases when the Lot is handed over to a post office or a shipping company.

8.6. The Winning Bidder is responsible for procuring all and any required certificates, export and/or import documents, and customs clearance in the sending and receiving country.

8.7. The Auctioneer is not responsible for the loss, theft of, and/or damage to any Lots that occur during their shipment. In the event of a conflict between the shipping company and the Winning Bidder, the Auctioneer serves as an intermediary for communication between the shipping company and the Winning Bidder.

 

9. RETURNS

9.1. All and any Lots offered for sale during an Auction are not subject to return, unless:

a) the Lot proves to be false as demonstrated by an NGC and/or PCGS certificate. Such proof is valid only if provided within 6 months of the Auction date;

b) the Lot received does not match the photo for that Lot on the Platform.

9.2. The Auctioneer may deny a refund for the purchased Lot if:

a) the Bidder fails to provide proof required in clauses 9.1.a or 9.1.b above;

b) the returned Lot is in a condition different from its original condition.

 

 

10. NO WARRANTY

10.1. Lots are provided “AS IS”. The Auctioneer does not provide any guarantee or warranty, whether express or implied, that any Lot in the Catalog will meet the standards, or the grade, of any third-party grading companies or, if graded by a third-party grading company, will grade the same if submitted to another third-party grading company or re-submitted to the original third-party grading company.

 

11. FINAL PROVISIONS

11.1. All and any communications shall be submitted by email to the email address of the Auctioneer specified on the Platform. Communications addressed to Bidders will be sent to their email addresses provided during registration for the Auction on the Platform.

11.2. If any provisions of the Rules are modified or declared unenforceable by a decision of a competent authority or court, the remaining provisions shall remain enforceable and binding on the Bidder.

11.3. The applicable law governing the relationship of the Auctioneer and the Bidder is Canadian law.
